These Terms of Service ("Terms") govern your use of https://viqq.net and your relationship with Vilen Khachatrian, operating through the VIQQ Studio brand ("VIQQ," "we," "us") when you inquire about or purchase web design, SEO, advertising, AI, or related digital services.

By using this website or engaging our services, you agree to these Terms.

Who provides the services

VIQQ Studio is an independent digital services brand operated by Vilen Khachatrian. Unless otherwise stated in a separate written agreement, all services offered through this website are provided by Vilen Khachatrian as an independent service provider.

Vilen Khachatrian may perform services directly or engage independent contractors, specialists, or other service providers when reasonably necessary to deliver a project. The use of such contractors does not change the contractual relationship between the client and Vilen Khachatrian, unless otherwise agreed in writing.

About our services

VIQQ provides custom websites, landing pages, local SEO, paid media setup, branding, and AI automation for businesses, primarily in Miami and South Florida.

Service scope, deliverables, timeline, and fees are defined in a written proposal, statement of work, agreement, or invoice, and are not determined solely by marketing copy or information published on this website.

Quotes, proposals, and agreements

Estimates on the website, in quizzes, or in informal email are directional unless confirmed in a written proposal, invoice, statement of work, or other agreement.

A project begins only after the parties agree to the scope, timeline, and payment terms.

If there is a conflict between these Terms and a separate written project agreement, proposal, or statement of work accepted by the parties, that separate agreement controls for that specific project.

Client responsibilities

To deliver work on schedule, clients typically agree to:

Provide accurate business information, brand assets, logins, and content in a timely manner.
Review drafts and approve milestones within agreed timeframes.
Ensure they have the necessary rights to materials they supply, including photos, logos, copy, and trademarks.
Maintain their own domain, hosting, advertising accounts, or third-party subscriptions when those are not included in the agreed scope.

Delays caused by missing assets, information, access, or approvals may affect the project timeline.

Payment

Payment terms, including deposits, milestones, retainers, and due dates, are specified in the applicable proposal, agreement, or invoice.
Work may be paused if invoices are overdue.
Fees are for services rendered unless otherwise stated in writing.
Third-party costs, including advertising spend, stock assets, premium plugins, domains, hosting, software subscriptions, or other external services, may be billed separately or paid directly by the client.

Unless otherwise stated in writing, payments for services are made to Vilen Khachatrian as the service provider.

Intellectual property

Client deliverables: Upon full payment for a project, clients receive ownership or a license to the final agreed deliverables, such as custom website design and code created specifically for them, as stated in the applicable project agreement.
Pre-existing tools: We may reuse frameworks, components, methodologies, templates, processes, or internal tools. We retain ownership of pre-existing and non-client-specific materials.
Portfolio: Unless agreed otherwise in writing, completed work may be displayed in our portfolio, case studies, and marketing materials.

Third-party platforms

Projects may involve third-party services, including hosting providers, Google, Meta, Shopify, WordPress, analytics providers, email platforms, or other software services.

Their own terms and policies apply to your use of those platforms. We are not responsible for outages, policy changes, service interruptions, or account suspensions caused by third parties.

SEO, ads, and performance

We use professional practices and reasonable efforts when providing website, SEO, advertising, and related services. However, we do not guarantee specific rankings, traffic levels, leads, revenue, advertising performance, or return on ad spend.

Results may depend on market conditions, competition, budget, client participation, third-party platforms, algorithms, and other factors outside our control.

Revisions and support

Included revision rounds and post-launch support periods are defined in the applicable project agreement.

Additional changes or requests outside the agreed scope may require additional fees.

Confidentiality

We treat non-public business information shared for a project as confidential and use it only as reasonably necessary to perform the requested services.

Clients should avoid sending passwords or other sensitive credentials through unsecured communication channels when a secure method is available.

Limitation of liability

To the fullest extent permitted by applicable law, Vilen Khachatrian and the VIQQ Studio brand shall not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, data, revenue, or business opportunities.

Our total liability for any claim relating to services or this website shall not exceed the amount paid by the client to Vilen Khachatrian for the specific project giving rise to the claim during the twelve (12) months preceding the claim, or one hundred U.S. dollars ($100) if no fees were paid, whichever is greater.

Nothing in these Terms limits liability where such limitation is prohibited by applicable law.

Indemnification

You agree to indemnify and hold harmless Vilen Khachatrian, the VIQQ Studio brand, and any contractors engaged in connection with the services, from claims arising out of materials you provide, your unlawful use of deliverables, or your breach of these Terms, except to the extent a claim is caused by gross negligence or willful misconduct.

Termination

Either party may terminate a project as set out in the applicable project agreement.

Upon termination, the client remains responsible for payment for work completed and any approved or non-refundable third-party costs incurred before termination.

We may refuse or discontinue services if a client materially breaches these Terms or engages in abusive, unlawful, or threatening conduct.

Governing law

These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-law rules.

Unless otherwise required by applicable law or agreed in writing, disputes relating to these Terms or services shall be brought in the appropriate courts located in Miami-Dade County, Florida.
